Payment Terms: 100% advance payment via confirmed bank transfer. All bank charges, transfer fees, and related costs shall be borne by the Client.
Late Payments: Late payments may incur interest at 6% per month, or the maximum rate permitted by the law.
Scope & Changes: Prices, timelines, and deliverables are based on the defined scope of work. Any changes in scope, materials, licensing requirements, or unforeseen technical conditions may require adjustments to pricing, timelines, or deliverables.
Project Dependencies: Delivery timelines depend on project complexity, availability of required resources, and Client cooperation. MiAAT shall not be liable for delays caused by force majeure events, regulatory
requirements, supply chain issues, vendor dependencies, or delays caused by the Client.
Cancellation & Refunds: No refunds are permitted after project commencement. Cancellations before project commencement may incur a 10% administrative and processing fee.
Payment Security: Clients must independently verify MiAAT’s official bank details prior to payment. MiAAT shall not be responsible for losses arising from fraudulent payment instructions, email compromise, or third-party interception.
Service Scope & Warranty: Services provided by MiAAT cover consultation, configuration, and implementation only. A limited warranty period of one (1) month from delivery or go-live applies solely to the configuration work performed by MiAAT and excludes issues caused by third-party software, infrastructure, licensing limitations, or client-side changes. Extended support services may be provided under a separate agreement.
Operational Responsibility: Unless explicitly defined under a separately executed managed service or support agreement, ongoing operation, monitoring, system administration, security management, backups, and software updates remain the sole responsibility of the Client’s internal IT team.
Cybersecurity Risk Disclaimer: Cybersecurity solutions and configurations implemented by MiAAT are intended to improve security posture and reduce risk. However, no cybersecurity solution can guarantee complete protection. MiAAT does not guarantee prevention of cyber incidents including malware infections, ransomware attacks, unauthorized access, data breaches, or service disruptions.
Client Implementation Responsibility: The effectiveness of implemented controls depends on proper operational management and adherence to recommended procedures. The Client is responsible for maintaining configurations, applying updates, monitoring systems, and following security guidance provided during the engagement.
Third-Party Technology Disclaimer: Any third-party software, hardware, cloud services, subscriptions, or licenses utilized during the engagement remain governed by the respective vendor’s terms and conditions. MiAAT shall not be responsible for vendor service outages, licensing restrictions, product limitations, security vulnerabilities, or vendor policy changes.
Cyber Incident Limitation: MiAAT shall not be liable for cyber incidents, data breaches, ransomware attacks, malware infections, unauthorized access, regulatory penalties, or business interruption occurring after the completion or handover of services where ongoing system management is outside the scope of the agreed engagement.
Audit & Compliance Disclaimer: Where cybersecurity frameworks, best practices, or regulatory references are discussed, they are provided for advisory purposes only. MiAAT does not certify or guarantee compliance with any regulatory, audit, or industry standard unless explicitly stated under a separate certification engagement.
Limitation of Liability: MiAAT’s total liability for any claim arising from services provided shall be limited to the total amount invoiced and paid for the specific service. MiAAT shall not be liable for indirect, incidental, consequential, or special damages including loss of profits, loss of data, reputational harm, or business interruption.
Statement of Work Requirement: Final scope, timeline, and acceptance criteria are subject to assessment and must be documented in a mutually agreed Statement of Work (SOW) where applicable.

Governing Law: This agreement shall be governed by and interpreted in accordance with the laws of Abu Dhabi, United Arab Emirates, and disputes shall fall under the jurisdiction of Abu Dhabi courts.
